MAISE – Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the MAISE website, platform, and services (together, the “Platform”). Please read these Terms carefully before using the Platform.

PLEASE READ THESE TERMS CAREFULLY. THEY FORM A LEGALLY BINDING AGREEMENT THAT GOVERNS YOUR USE OF THE SERVICES BY REGISTERING AN ACCOUNT WITH THE SERVICES, SIGNING INTO AN ACCOUNT ON THE SERVICES, OR USING THE SERVICES YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO ENTER INTO THE AGREEMENT ON BEHALF OF THE CUSTOMER, AND THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE LEGALLY BOUND BYTHE TERMS OF THE AGREEMENT. IF YOU DO NOT AGREE TO BE LEGALLY BOUND BY THE AGREEMENT OR YOU DO NOT HAVE THE AUTHORITY TO ENTER INTO THE AGREEMENT ON BEHALF OF THE CUSTOMER, THEN YOU MAY NOT ACCESS OR USE THE SERVICES.

1. About MAISE
MAISE (“MAISE”, “we”, “us”, or “our”) operates an online platform that enables music artists to create individual project pages through which fans may provide financial support for music-related projects in exchange for non-financial rewards, experiences, or benefits.

MAISE does not:
- Act as an agent, partner, or representative of any artist
- Guarantee the completion, quality, or delivery of any artist project or reward
- Offer investments, securities, profit-sharing, or financial returns of any kind

2. Eligibility
You must be at least 18 years old to use the Platform.

By using MAISE, you confirm that:
- You have the legal capacity to enter into binding agreements
- You are using the Platform for lawful purposes only

3. Platform Role and Disclaimer
MAISE provides technology and infrastructure only.

- MAISE is not a party to any agreement between an artist and a fan
- Any arrangement regarding contributions, rewards, delivery timelines, orproject outcomes is solely between the artist and the fan
- MAISE does not verify, endorse, or guarantee any artist, project, or reward

All artists are solely responsible for:- The accuracy of their project descriptions- The creation, delivery, and fulfilment of rewards- Compliance with applicable laws, tax obligations, and regulations

3a. International Use and Jurisdictional Notice
MAISE is operated from the United Kingdom. The Platform is made available for use by individuals worldwide for the purpose of supporting creative projects on a non-investment basis.

Contributions made through MAISE are not investments, securities, or financial instruments in any jurisdiction, and do not confer ownership, profit participation, or financial rights of any kind.

Users acknowledge that consumer rights, tax treatment, and legal protections may vary by country. Nothing on the Platform constitutes an offer of securities or regulated financial products in any jurisdiction.

4. Fan Contributions
When you contribute funds to an artist through MAISE:
- Your contribution is voluntary and made to support a creative project
- Contributions are not refundable, except where required by law
- Contributions do not constitute an investment, loan, or expectation of profit
- You acknowledge that creative projects involve risk and uncertainty

MAISE does not guarantee that:
- A project will be completed
- Rewards will be delivered on time or at all
- The artist will meet fan expectations

You acknowledge that any statements, projections, or descriptions made by an artist are expressions of intent only and are not guarantees. You have not relied on MAISE or any artist for financial, legal, or investment advice in making a contribution. Rewards offered through MAISE are intended for personal use only and may not be resold, transferred, or marketed as having monetary value unless expressly authorised by the artist and permitted by applicable law.

Contributions support creative projects. Unless an artist explicitly states that a benefit has commercial value, contributions are not purchases of goods or services and do not convey ownership or entitlement to deliverables.

5. Artist Obligations and MAISE Non-Liability
Artists are independent third parties.

MAISE expressly disclaims all responsibility and liability for:
- Artist failure to deliver rewards or experiences- Delays, cancellations, or changes to projects- Quality, safety, legality, or suitability of rewards or events
- Misrepresentations or omissions by artists

Any dispute between a fan and an artist must be resolved directly between those parties. MAISE will not mediate, arbitrate, or assume responsibility for such disputes.

6. Payments and Third-Party Services
Payments made through MAISE are processed by third-party payment providers (e.g. Stripe).

MAISE:
- Does not control payment processing systems
- Is not responsible for payment errors, chargebacks, or processing delays caused by third parties

Your use of payment services is subject to the payment provider’s own terms and conditions.

You agree that MAISE (and any payment processor used by MAISE) may share transaction information with tax authorities where required by law.

6a. Payment Characterisation and Tax Treatment
Contributions made through the Platform are voluntary support for creative projects. Unless expressly stated otherwise, contributions are not payments for goods or services, and do not, in themselves, constitute supplies of goods or services under applicable tax law.

MAISE does not determine the tax treatment of any payment, including whether any portion of a contribution should be treated as consideration for goods or services (which may attract VAT or other taxes under applicable law).

Contributors understand and agree that any tax (including VAT, sales tax, or similar) applicable to any payment (if required) is the responsibility of the artist receiving the funds. MAISE does not collect, remit, advise on, or otherwise handle VAT or other tax obligations on behalf of contributors or artists.

Nothing in these Terms constitutes tax or legal advice. Each user should consult a qualified tax adviser regarding their own tax obligations.

7. Prohibited Use
You agree not to:
- Use MAISE for unlawful, misleading, or fraudulent purposes
- Misrepresent yourself or impersonate others
- Upload content that is defamatory, infringing, abusive, or harmful
- Circumvent Platform security or payment systems

MAISE reserves the right to suspend or terminate access at its discretion.

8. Intellectual Property
All Platform content, branding, software, and design elements are owned by or licensed to MAISE.
Artists retain ownership of their own content but grant MAISE a non-exclusive, royalty-free licence to host, display, and promote such content solely for Platform operation and marketing.
You may not copy, distribute, or exploit Platform materials without prior written consent.

9. Limitation of Liability
To the maximum extent permitted by law:

MAISE shall not be liable for any:
- Loss of profits, revenue, or goodwill
- Loss arising from artist non-performance
- Indirect, incidental, or consequential damages

MAISE’s total liability, if any, shall not exceed the amount of fees paid to MAISE by you in the 12 months preceding the claim.

Nothing in these Terms excludes liability that cannot be excluded underapplicable law.

10. Indemnity
You agree to indemnify and hold harmless MAISE from any claims, damages, losses, or expenses arising from:
- Your use of the Platform
- Your breach of these Terms
- Any dispute between you and another user

11. Termination
MAISE may suspend or terminate access to the Platform at any time, with or without notice, if you breach these Terms or misuse the Platform.

MAISE reserves the right to require modifications to, restrict visibility of, or remove any campaign content that, in MAISE’s sole discretion, may create legal, regulatory, reputational, or compliance risk, including content that could be construed as offering financial returns.

Termination does not affect rights or obligations accrued prior to termination.

12. Changes to These Terms
MAISE may update these Terms from time to time.

Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. 

13. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from these Terms or the use of MAISE.

Miscellaneous:
Entire Agreement
These Terms constitute the entire agreement between you and MAISE and supersedeall prior or contemporaneous communications, representations, or understandings, whether written or oral.

Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver
No failure or delay by MAISE in enforcing any right or provision of these Terms shall constitute a waiver of such right or provision.

Assignment
MAISE may assign or transfer these Terms, in whole or in part, without restriction. You may not assign your rights or obligations without prior written consent from MAISE.
